Ipsos in Paris
Ipsos is looking for a Legal Counsel.
In close collaboration with the Group General Counsel and the Deputy General Counsel (Mergers & Acquisitions), the candidate will strengthen the Group Corporate Department’s expertise:
Responsibilities include:
- Take part to buy-out international operations, monitor earn-out operations, set up procedures in collaboration with the internal audit and keep synthetic records for each acquisition;
- Design, write and monitor the offering memorandum, the annual report, the management report and the half-year report;
- Prepare the annual shareholders meeting (manage the calendar and the overall development of the meeting), prepare boards of directors of the listed Company;
- Monitor and manage all kinds of trading on Company’s shares (share buybacks, issues, capital increases …) and legal aspects inherent to the benefit programs (options, free shares,…).
- Manage & keep the annual planning of stock exchange procedures, statements, releases and all regulated information (AMF, website…) ;
- Monitor new legislation coming from the AMF and the European Union;
- Supervise the legal secretariat of the 100 foreign subsidiaries in collaboration with the operational people (country manager or country CFOs) the local in-house counsels and local external counsels (monitor statements writing, plan general meetings, approve financial statements, keep legal records of general meetings of shareholders, achieve legal procedures, monitor/manage and set up power commissions) in possible coordination with external consultants.
Person specification:
- M/F, holding a postgraduate degree in French business law, ideally completed with a foreign degree: LLM-like or MBA.
- The candidate has minimum 7 year of experience in the legal and social aspects management of a listed company, through stock exchange law and M&A operations. Knowledge in tax law would be a plus.
- Technical knowledge of how to manage a listed company on the Paris stock exchange is crucial to be immediately operational in this position.
- The candidate is perfectly bilingual in English and French, a third language would be a plus. He/She is proficient in office and computer tools.
- Full autonomy in stock exchange law, organized, rigorous, analytical, ready to handle a lot of work in short delays. The candidate is a team player who will feel comfortable in an international and challenging environment where autonomy and growth opportunities are a daily reality.
